Acceptance of the Terms of Use

These terms of use are entered into by and between you and Orange USA Inc. dba emaqi ("Orange," "emaqi," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Use"), govern your access to and use of emaqi.com (the "Website"), including any content, functionality, and services offered on or through emaqi.com (together with the Website, defined as the "Service").

Please read these Terms of Use carefully before you start to use the Service. By using the Service you accept and agree to be bound and abide by these Terms of Use (including the arbitration agreement, jury and trial waivers, and limitation on time to bring claims) and accept and agree to our Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Service.

ARBITRATION AND WAIVERS: THESE TERMS OF USE CONTAIN A BINDING ARBITRATION CLAUSE, CLASS ACTION WAIVER, JURY TRIAL WAIVER, AND LIMITATION ON TIME TO BRING CLAIMS. THESE PROVISIONS AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY.

ELIGIBILITY AND AGE REQUIREMENTS:

This Website and the Service is offered and available to users who are 13 years of age or older ("age eligibility") and residents of United States ("U.S."). By accessing or using the Service, you represent and warrant that you are at least 13 years old, and if you are 18 years old or older, that you are of legal age to form a binding contract with Orange and meet all of the foregoing eligibility requirements, or if you are from 13 to 17 years of age (a "Minor User"), that your parent or legal guardian has agreed to these Terms of Use on your behalf ("legal eligibility"). If you do not meet all of the requirements in this paragraph or the paragraphs below, you must not access or use the Service.

If you are from 13 to 17 years of age (a "Minor User"), you represent and warrant that your parent or legal guardian has reviewed and agreed to these Terms of Use on your behalf and has authorized you to access and use the Services, including to register, create an account, buy coins, or sign up for a free trial or subscription (if applicable). Upon our request, you will provide us with the contact information of your parent or legal guardian and provide evidence of your parent's or legal guardian's authorization.

Parents and legal guardians are responsible and liable for the online conduct of their Minor Users and the consequences of any access to or use of the Services by the Minor User. Parents and legal guardians who permit Minor Users to access or use the Services should discuss restrictions and safe online practices with their children.

The person who accesses or uses the Services must be authorized to agree to these Terms of Use and to bind themselves or any Minor User.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Service thereafter.

Your continued use and access of the Website or the Service following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

Membership and Access

To fully access and enjoy offerings by Orange, users are required to register as members. You must satisfy age eligibility and legal eligibility to access and use our Service, including and not limited to registering as a member. Membership and access is free. We offer a paid subscription with additional benefits. See subscription terms below.

You are prohibited from sharing, assigning, or transferring your membership to any other party. We reserve the right, at our sole discretion, to limit the number of devices that can access your account simultaneously.

If you choose an email address, password, or any other piece of information as part of account registration, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website, Services, or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your email address or password or any other breach of security. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any email address, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

emaqi Premium Subscription

We offer our members with access to a paid, premium subscription (the "Subscription"). Your purchase and use of the Subscription is subject to these Terms of Use.

Eligibility: The Subscription is available to individuals for their personal, non-commercial use in countries where we offer the Subscription. Individuals must be 18 years old (or the applicable age of majority) to buy a Subscription.

Free Trial: Details of any applicable free trial can be found here.

Subscription Fees: When you purchase a Subscription or your free trial converts to a paid Subscription, you will be charged the listed fee, including taxes, if applicable ("Subscription Fees") through our third party payment provider. You will be charged upfront at the start of the Subscription. Depending on your jurisdiction and your banking provider, you may be charged additional fees (e.g., a foreign transaction fee) when you purchase a Subscription. Subscription Fees may vary depending on where you reside.

Automatic Subscription Renewal Fees: Your Subscription will automatically renew at the start of every billing period and will continue indefinitely until you cancel it. You will automatically be charged through our third party payment provider.

Changes to Fees and Benefits: We may change the Subscription Fees and Subscription benefits at any time after giving you notice as required by law. Changes to the Subscription Fees and Subscription benefits will take effect on your next billing date, unless otherwise stated. You may cancel your Subscription before the price and benefits changes take effect. By continuing to use the Subscription, you indicate that you accept the new recurring Subscription Fee and the new Subscription benefits. Some emaqi Content may be removed or discontinued due to a rights issue or other business or legal issue. Such changes to emaqi Content are not deemed a change to your benefits.

Subscription Payment: By purchasing a Subscription, you authorize emaqi's designated third-party payment provider to collect and use your payment information for payment of the Subscription Fees and to automatically charge the Subscription Fee to the selected payment method on a recurring basis until you cancel your Subscription. You must cancel your subscription before it renews in order to avoid billing of the subscription fee for the next billing cycle.

Refunds and Transfers: To the extent permitted by applicable law, subscriptions are non-refundable and non-transferable.

Subscription Cancellations: You can cancel your Subscription by following the instructions here. You must cancel your Subscription before the next billing date to avoid auto renewal. You will continue to have access to and use of your Subscription through the period paid. When your Subscription ends, you will no longer have access to the Subscription.

Subscription Termination and Suspension: emaqi may suspend or terminate your access to the Subscription at any time due to your breach of the Terms of Use, your request, your non-payment, a technical or security issue, or lawful requests by governmental authorities.

Subscription Security: You are responsible for the security of your Subscription. You must notify emaqi immediately if you have reason to believe there was any unauthorized use of or access to your Subscription.

emaqi Content

Use of emaqi Content. emaqi Content is licensed, not sold, to you by the Content Provider. Your use of emaqi Content is governed by emaqi License Terms, which are hereby incorporated by reference. Upon your download or access of emaqi Content and payment of any applicable fees (including applicable taxes), Orange grants you subject to these terms, a non-exclusive right to view, use, and display such emaqi Content, solely through the Website or as otherwise permitted as part of the Service, and solely for your personal, non-commercial use. "emaqi Content" means digital content licenses obtained through the emaqi Store, such as books, comics and other content.

Limitations. Unless specifically indicated otherwise, you may not sell, rent, lease, distribute, broadcast, sublicense, or otherwise assign any rights to the emaqi Content or any portion of it to any third party, and you may not remove or modify any proprietary notices or labels on the emaqi Content. In addition, you may not attempt to bypass, modify, defeat, or otherwise circumvent any digital rights management system or other content protection or features used as part of the Service.

Risk of Loss. Risk of loss for emaqi Content transfers to you when you download or access the emaqi Content.

We do not guarantee that any specific title will be available or continue to be available. We may modify, suspend, or discontinue access to certain emaqi Content in the event of a rights issue or other business or legal issue.

Payments

emaqi partners with Stripe, Google and Apple for all payment processing to ensure a secure and streamlined transaction experience without directly collecting or storing your payment information. For detailed information about those payment providers’policies, please visit their website. Please note, all sales on emaqi are final, and we do not offer refunds.

emaqi Coins

You can buy emaqi coins via our website. There are no participation or membership fees associated with buying emaqi coins. Your emaqi coins are personal to you and may not be sold, transferred or assigned to, or shared with, family, friends or others, or used by you for any commercial purpose. You may have only one (1) emaqi account that is personal to you.

emaqi coins do not expire, and their value does not diminish over time except for coins granted by Orange for promotional purpose.

You may close your emaqi coins account at any time here.

Orange reserves the right to change, modify, discontinue or cancel emaqi coins or any part of the emaqi program, at any time and in its sole discretion, without notice to you.

The dollar value that you add to your emaqi coins is a prepayment for the goods and services. Unless otherwise required by law or permitted by these Terms, the dollar value on your emaqi coins is nonrefundable and may not be redeemed for cash. The value on your emaqi coins is not insured by the Federal Deposit Insurance Corporation (FDIC), nor does it earn interest.

If you use a credit or debit card to purchase or reload your emaqi coins, prior to charging your credit or debit card, an authorization process will occur for the amount of your purchase or reload transaction ("Transaction"). The authorization process will validate the credit or debit card number, status, available credit or funds and billing information to ensure that it matches what the bank or card company has on file. Your bank or emaqi may attempt to contact you for additional information prior to authorizing the Transaction amount.

For credit cards, once an authorization is received, you may notice a decrease in your available credit line. Your bank may hold this dollar amount from your credit line or available balance for a short period of time determined by the policy of your bank before your Transaction is fulfilled. For debit cards, your bank may pre-authorize a charge to your deposit or checking account and place a temporary hold on the funds before your Transaction is fulfilled. Regardless of whether you use a credit or debit card, your card will be charged only upon fulfillment of your Transaction. If your Transaction is cancelled, emaqi will request an authorization reversal on your behalf. Reversal times may vary. We recommend contacting your bank or credit card company to learn about their authorization and authorization reversal policies.

All amounts loaded onto your emaqi coins account are denominated in the U.S. dollars.

Fraud Associated with your emaqi coins or Card Balance: We will not accept any emaqi coins, or will limit use of any emaqi coins or emaqi account balance, if we reasonably believe that the use is unauthorized, fraudulent or otherwise unlawful, and we consider such action appropriate to limit our risk. emaqi does not control who may sell preloaded emaqi coins, nor can we control the price or preloaded denominations offered by independent sellers. Consequently, emaqi has no liability to you for any third-party fraud or unlawful activity associated with any emaqi coins balance. If emaqi discovers any emaqi coins or emaqi coins balance was sourced or derived from fraud or other unlawful means, we may in our sole discretion, cancel all impacted emaqi coins and retain all related emaqi coins balances without notice to you. We may use retained emaqi coins balances to help offset our liability to card companies, networks and issuers of lost or stolen credit and debit cards used to purchase or load emaqi coins.

Liability for Unauthorized Transactions: You should treat your emaqi coins confidentially and not disclose your emaqi coins or account information to anyone. You are responsible for all transactions on your emaqi coins account and using your emaqi account, including unauthorized transactions.

Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by emaqi, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Trademarks

The Service name, the Service marks, the Service logo, and all related names, logos, product and the Service names, designs, and slogans are trademarks of emaqi or its affiliates or licensors. You must not use such marks without the prior written permission of us. All other names, logos, product and service names, designs, and slogans on this website are the trademarks of their respective owners.

Reporting Claims of Copyright Infringement

We take claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any materials accessible on or from the Website or Service infringe your copyright, you may request removal of those materials (or access to them) from the Website by submitting written notification to our copyright agent designated below. Additionally, you agree not to:

  • Use the Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Service, including their ability to engage in real time activities through the Service.
  • Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.

YOU WAIVE AND HOLD HARMLESS EMAQI AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY EMAQI DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER EMAQI OR LAW ENFORCEMENT AUTHORITIES.

Upon termination, your right to access and use the Service will cease immediately.

We may terminate or suspend your use of the Service if you violate these Terms of Use (including failure to pay fees) or are engaged in illegal or fraudulent use of the Service.

You can terminate your Subscription by following the instructions here and delete your account here at any time.

All provisions of these Terms of Use which by their nature should survive termination will survive termination, including ownership provisions, warranty disclaimers, indemnity obligations, limitations of liability, jury and class action waivers, time limitations on bringing claims, and the arbitration agreement.

Reliance on Information Posted

The information presented on or through the Service is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. Limitation on Liability

The limitations of liability set out above do not apply to any liability (a) resulting from our gross negligence, willful misconduct, or fraud, or (b) that cannot be excluded or limited under applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless emaqi, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, the Service, or any use of the Website's content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Website or Service.

Arbitration Agreement and Class Action and Jury Waivers

Mandatory Arbitration. PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. YOU AND EMAQI AGREE THAT ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS, YOUR USE OF THE SERVICE, OR YOUR RELATIONSHIP WITH EMAQI (COLLECTIVELY, "DISPUTES") THAT CANNOT BE RESOLVED INFORMALLY SHALL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION, EXCEPT AS SET FORTH BELOW.

Covered Disputes. This arbitration agreement applies to all Disputes between you and emaqi, including but not limited to:

  • Contract Claims. Claims arising out of or relating to any aspect of the relationship between you and emaqi, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.
  • Prior Disputes. Claims that arose before these Terms or any prior agreement (including, but not limited to, claims relating to advertising).
  • Successor Claims. Claims that may arise after the termination of these Terms.

Exceptions to Arbitration. Notwithstanding the foregoing, the following Disputes are not subject to arbitration:

  • Small Claims Court. Any Dispute that qualifies for filing in small claims court, provided the Dispute remains in small claims court and proceeds only on an individual basis.
  • Intellectual Property Claims. Any Dispute seeking equitable relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents.
  • Injunctive Relief. Any claim for injunctive relief to prevent the actual or threatened infringement, misappropriation, or violation of a party's Intellectual Property Rights.

Arbitration Rules and Forum. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (the "AAA Rules") then in effect, except as modified by this Arbitration Agreement. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.

  • Single Arbitrator. The arbitration shall be conducted by a single neutral arbitrator selected in accordance with the AAA Rules.
  • Location. The arbitration shall take place in New Castle County, Delaware, or at another mutually agreed location.
  • Federal Arbitration Act. These Terms evidence a transaction involving interstate commerce, and the Federal Arbitration Act, 9 U.S.C. § 1 et seq. ("FAA"), governs the interpretation and enforcement of this arbitration agreement, notwithstanding any other choice of law provision in these Terms.

Arbitration Procedures.

  1. Initiation. A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the AAA Rules.
  2. Fees and Costs. Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules, unless otherwise stated in this Arbitration Agreement. If the value of your claim does not exceed $10,000, emaqi will pay all filing, administration, and arbitrator fees associated with the arbitration, unless the arbitrator finds the arbitration frivolous or brought for an improper purpose. Each party shall bear its own attorneys' fees and costs in arbitration unless the arbitrator awards attorneys' fees and costs to the prevailing party as permitted by applicable law or these Terms.
  3. Hearing. If your claim is for $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic or video conference hearing, or by an in-person hearing as established by the AAA Rules. If your claim exceeds $10,000, the right to a hearing will be determined by the AAA Rules.
  4. Decision. The arbitrator's decision will include the essential findings and conclusions upon which the arbitrator based the award. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. Judgment on the award may be entered in any court having jurisdiction.
  5. Confidentiality. The arbitration proceedings and arbitration award shall be maintained by the parties as strictly confidential, except as is otherwise required by court order or as is necessary to confirm, vacate, or enforce the award and for disclosure in confidence to the parties' respective attorneys, tax advisors, and senior management, and to family members of a party who is an individual.
  6. Class Action Waiver. YOU AND EMAQI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. UNLESS BOTH YOU AND EMAQI AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, CLASS, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY'S INDIVIDUAL CLAIM(S). ANY RELIEF AWARDED CANNOT AFFECT OTHER USERS.

Severability of Class Action Waiver. If a court or arbitrator decides that any part of this class action waiver is invalid or unenforceable as to a particular claim or request for relief (such as a request for public injunctive relief), then that claim or request for relief (and only that claim or request for relief) shall be severed and brought in court, and the parties agree to litigate that claim in court and to stay the remainder of the arbitration until the court proceeding is complete. If a court or arbitrator decides that the limitations of this subsection are invalid or unenforceable as to a particular claim or request for relief, then that claim or request for relief shall proceed in arbitration on an individual, non-class, non-representative basis, and the arbitrator shall have no authority to combine or aggregate similar claims or conduct any class, representative, or private attorney general proceeding.

Mass Filing. If 25 or more similar arbitration demands are asserted against emaqi or related parties by the same or coordinated counsel or entities within a 90-day period ("Mass Filing"), the parties agree to the following procedures:

  1. Staged Proceedings. The parties shall randomly assign each case a sequential number and the parties shall proceed with arbitration only in staged groups of 50 claims at a time, beginning with the lowest numbered cases.
  2. Bellwether Process. While one stage of cases is in arbitration, the arbitration of the remaining cases shall be administratively stayed pending resolution of the stage in progress. The arbitrator and the parties shall work in good faith to complete the arbitration of each stage within 120 days of the appointment of the arbitrator for that stage.
  3. Settlement Negotiation. The results of each stage of proceedings shall be provided confidentially to all parties to the Mass Filing and may be used in settlement negotiations. emaqi agrees to engage in good-faith mediation with claimants following the resolution of each stage.
  4. Tolling. The statute of limitations and any filing-fee deadlines shall be tolled for all claims from the time the first case in the Mass Filing is filed until the resolution or settlement of all claims in the Mass Filing.

Right to Opt Out of Arbitration Agreement. YOU HAVE THE RIGHT TO OPT OUT OF THIS ARBITRATION AGREEMENT BY SENDING WRITTEN NOTICE OF YOUR DECISION TO OPT OUT TO: Orange USA Inc., ATTN: LEGAL DEPARTMENT, DG717, 717 MARKET ST #100, SAN FRANCISCO, CA 94103, USA, WITHIN THIRTY (30) DAYS AFTER FIRST BECOMING SUBJECT TO THIS ARBITRATION AGREEMENT. YOUR NOTICE MUST INCLUDE YOUR NAME, MAILING ADDRESS, EMAIL ADDRESS ASSOCIATED WITH YOUR ACCOUNT (IF APPLICABLE), AND AN UNEQUIVOCAL STATEMENT THAT YOU WANT TO OPT OUT OF THIS ARBITRATION AGREEMENT. IF YOU OPT OUT OF THIS ARBITRATION AGREEMENT, ALL OTHER PARTS OF THESE TERMS WILL CONTINUE TO APPLY TO YOU. OPTING OUT OF THIS ARBITRATION AGREEMENT HAS NO EFFECT ON ANY PREVIOUS, OTHER, OR FUTURE ARBITRATION AGREEMENTS THAT YOU MAY HAVE WITH US.

Amendments to Arbitration Agreement. Notwithstanding any provision in these Terms of Use to the contrary, you and emaqi agree that if emaqi makes any amendment to this arbitration agreement (other than an amendment to any notice address or website link provided herein) in the future, that amendment shall not apply to any claim that was filed in a legal proceeding against emaqi prior to the effective date of the amendment. The amendment shall apply to all other Disputes or claims governed by the arbitration agreement that have arisen or may arise between you and emaqi. If emaqi changes this arbitration agreement after the date you first accepted these Terms of Use (or accepted any subsequent changes to these Terms), you agree that your continued use of the Service after such change constitutes your agreement to the amended arbitration terms.

Time to File Claims

You agree that any claim against emaqi, its affiliates, or its or their licensors, service providers, employees, agents, officers or directors must be brought within one year of the date on which you first become aware, or reasonably should have become aware, of facts giving rise to such claim.

The limitation to file claims above applies solely to the extent permitted by applicable law.

Governing Law and Jurisdiction

All matters relating to the Website or the Service and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), including any Disputes (defined above), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction).

To the extent arbitration does not apply, you agree that any Dispute (except those that qualify for small claims court) shall be brought exclusively in the federal or state courts located in New Castle County, Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.

Waiver and Severability

No waiver by emaqi of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of emaqi to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

The Terms of Use, emaqi License Terms and our Privacy Policy constitute the sole and entire agreement between you and Emaqi regarding the Website and the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website and the Service.

Severability

If any provision of the Terms of Use shall be held unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the Terms of Use and shall not affect the validity and enforceability of any remaining provisions.

Feedback

All communications and notices made or given pursuant to the Terms of Use or otherwise, must be in English. Any feedback you provide to us relating to the Website and Service shall be deemed to be non-confidential (the “Feedback”). We may use the Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you, including, without limitation, to develop, copy, publish, or improve the Feedback in our sole discretion.
